Resolved that the delegation of the Chair of Grimsby Energy Inc. Delight Davoli with reference to a Biodigester update be received.

Resolved that Report TC 19-03 dated February 1, 2019 be received and the Council of the Town of Grimsby select one of the following for Grimsby Downtown Improvement Area (GDIA) reporting: Page 3 of 12 Council February 4, 2019 __ Reporting remains with the Public Works Committee __ Reporting moves to the Recreation, Facilities and Culture Committee X Reporting moves to the Administration & Finance Committee __ Posted to the Town's website

Resolved that Report TM-19-03 dated 02 February 2019 be received and that the Council for the Town of Grimsby authorizes the Mayor and Treasurer to sign all documents required to execute a demand loan for $100,000 from the Town of Grimsby to GEI at 3% interest; and, That Council authorizes the Mayor and Treasurer to sign all documents required to add an additional $300,000 to the $4,500,000 bank loan to GEI that is guaranteed by the Town; and, That Council directs staff to work with the GEI board and then Report back to Council with a recommendation on items for which the GEI board will report regularly to Council.

Resolved that the memorandum from the Town Manager to the Mayor and members of Council dated February 1, 2019 with reference to a Council-Staff Partnership and Relationship Policy be received.

Resolved that the Council of the Town of Grimsby lift resolution 19- 1 from the January 29, 2019 Planning and Development Committee meeting minutes for separate consideration.

Resolved that the Council of the Town of Grimsby refer the West Lincoln Memorial Hospital Secondary Plan to the Planning and Development Committee for future information.

Resolved that the Council of the Town of Grimsby direct the consultant to continue with the West Lincoln Memorial Hospital Corridor Secondary Plan.

Resolved that the Council of the Town of Grimsby lift resolution PD 19-3 from the January 29, 2019 Planning and Development Committee meeting minutes for separate consideration.

Resolved that the Council of the Town of Grimsby refer 19-3 from the January 29, 2019 Planning and Development Committee meeting back to the Planning and Development Committee for further information.

Resolved that Council approves the Distribution of Funds from Hydro Shareholders Representative Account • Mayor's Gala Tickets - $1,200.

Resolved that the email correspondence from the AGCO Office of the Registrar dated January 22, 2019 regarding Cannabis Retail Sales Opt-in/Opt-out be received.

Resolved that the correspondence from Kurt Whitnell, Niagara Power Incorporated Board Chair dated January 30, 2019 with reference to the Grimsby Power Inc. changes to the Board of Directors be received.

Resolved that leave be given to introduce By-law Nos. 19-06 , 19-08 - 19-10 and 19-12 read a first time be now read a second and third time and finally passed; and that the Mayor and Town Clerk do sign and seal the same; any rule of Council to the contrary notwithstanding.

Page 12 of 12 Council February 4, 2019 Motion: I move: (i) that this Council accept and confirm the Mayor's determination that council's immediate attention to this matter is required; (ii) that Council go into closed session to review and consider this personal matter concerning an identifiable individual; (iii) that we retain Mr. Gary Graham of Graham Stephenson LLP to attend in camera with us to provide us with advice that is subject to solicitor-client privilege in out Closed Session; (iv) that all staff, including the Clerk, be excused from a Closed Session meeting; and, (v) that Sandra Stephenson of Graham Stephenson LLP be appointed to serve as Deputy Clerk for the closed session.

Resolved that the Council of the Town of Grimsby return to open session.
