Resolved that the correspondence received from Ken and Lori Tuinstra re: P.A. 20-18, Settlement Agreement - Official Plan and Zoning Amendment Application for 21 and 23 Main Street East and 6 Doran Avenue - Laneway Ownership be received.

Resolved that the presentation in regards to PA 20-18 Settlement Agreement - Official Plan and Zoning Amendment Application for 21 and 23 Main Street and 6 Doran Avenue - Laneway Ownership be received.

Resolved that the Council meet in Closed Session regarding the following: • Section 239(2)(f) of the Municipal Act, 2001, advice that is subject to solicitor-client privilege, including communications necessary for that purpose: o P.A. 20-18, Settlement Agreement – Official Plan and Zoning Amendment Application for 21 and 23 Main Street East and 6 Doran Avenue – Laneway Ownership (revised)

Resolved that Confidential Report PA 20-18 be received; and Now therefore be it resolved that the Town directs their legal counsel, Gowling WLG, to enter into the following Agreements, including amending those agreements, as may be required in the absence of Irene Brons consent, and to continue to negotiate with Irene Brons to obtain her consent, failing which to obtain the Court orders contemplated pursuant to the Master Settlement Agreement and the Court Minutes of Settlement, 1. Master Settlement Agreement; 2. Court Minutes of Settlement; 3. Brons Settlement Agreement; and 4. LPAT Minutes of Settlement. And that the Town directs the Mayor and Clerk to enter into the following documents, 1. Acknowledgement and Direction with respect to the easements in Land Titles; 2. Document General to register the Court Order vesting title to Parts 1 and 2 of the Laneway in the Town; and 3. Option Agreement. And that the Town directs the Mayor to swear and sign the following documents, 1. Land Transfer Tax Affidavit with respect to the Option Agreements; 2. Land Transfer Tax Affidavit with respect to the easement in Registry; and 3. Land Transfer Tax Affidavit with respect to vesting title to Parts 1 and 2 of the Laneway in the Town.

Resolved that leave be given to introduce By-law No. 20-64 inclusive and that same be read a first time.

Resolved that leave be given to introduce By-law No. 20-64 inclusive read a first time be now read a second and third time and finally passed and that the Mayor and Town Clerk do sign and seal the same; and rule of Council to contrary notwithstanding.
