Resolved that the Council minutes of June 7, 2010 be approved.

Resolved that the Administration & Finance Committee minutes of June 14, 2010 be approved.

Resolved that the Public Works Committee minutes of June 15, 2010 be approved.

Resolved that the Planning & Development Committee minutes of June 15, 2010 be approved.

Resolved that the Recreation Services Committee minutes of June 15, 2010 be approved.

Resolved that the Committee of Adjustment minutes of June 8, 2010 be received and filed.

Resolved that the correspondence from the Niagara Region with reference to Environmental Award winners be received.

Resolved that the correspondence listed as Resolutions from Other Municipalities be received.

Resolved that for the months of July, August and September the Council meeting will commence at 6:30 p.m.

Page 4 of 7 Council June 21, 2010 Whereas the Council of the Corporation of the Town of Grimsby is the sole shareholder of Niagara Power Incorporated and as such acts in the capacity of shareholder at meetings called for the purposes of transacting business related to the shareholder in matters affecting Niagara Power Incorporated; and Whereas there are periodically requests for the Council acting as Shareholder to affirm its actions and or resolutions in its capacity as the Municipal Council for the Corporation of the Town of Grimsby; and Whereas a request has been received by the Corporation of the Town of Grimsby to affirm the shareholder resolution dated May 18, 2010 dealing with indebtedness and guarantees for same related to Niagara West Transformation Corporation. Therefore be it resolved that the Council of the Corporation of the Town of Grimsby affirms the following resolution passed in its capacity as Sole Shareholder of Niagara Power Incorporated on May 17, 2010 “RESOLUTION OF THE SHAREHOLDERS OF NIAGARA POWER INCORPORATED 1. GUARANTEE OF THE INDEBTEDNESS OF NWTC Be it resolved that: any officer or director is hereby authorized to execute a guarantee in favour of The Toronto Dominion Bank (the “Bank”) on the Bank’s regular form (attached hereto and initialed by the Chairman for identification) whereby the Corporation guarantees the indebtedness and liability of Niagara West Transformation Corporation to the Bank to the extent of Three Million Two Hundred and Fifty

Resolved that leave be given to introduce By-law Nos. 10-48 - 10-54 inclusive and that same be now read a first time.

Resolved that By-law Nos. 10-48 - 10-54 inclusive just read a first time be now read a second and third time and finally passed and that the Mayor and Clerk do sign and seal the same any rule of the Council to the contrary notwithstanding.
